                                               Relating to Exemptions Under Section 27156
                                                            of the Vehicle Code

                                                 JOHNSON MATTHEY, INC.
                                         CAM CONVERTER TECHNOLOGY UPGRADE KIT


                  Pursuant to the authority vested in the Air Resources Board (ARB) by Section 27156 of the Vehicle
                  Code; and

                  Pursuant to the authority vested in the undersigned by Sections 39515 and 39516 of the Health and
                  Safety Code and Executive Order G—45—9;

                  IT IS ORDERED AND RESOLVED: That installation of the Cam Converter Technology (CCT)
                  Upgrade Kit, manufactured by Johnson Matthey, Inc. of 460 East Swedesford Road, Wayne,
                  Pennsylvania 19087—1880, has been found not to reduce the effectiveness of the applicable vehicle
                  pollution control system, and therefore, the CCT Upgrade Kit is exempt from the prohibitions of

                  Section 27156 of the Vehicle Code for installation on 1985—1993 model—year Detroit Diesel
                  Corporation (DDC) 6V92TA DDEC two—stroke urban bus diesel engines with power ratings of 253

                  and 277 horsepower.

                  The CCT Upgrade Kit rebuilds all applicable engines to federal 1991—1993 model—year DDC
                  specification. The CCT Upgrade Kit is exempt only when used in conjunction with other DDC engine
                  rebuild parts. The required CCT Upgrade Kit parts and DDC rebuild parts are listed in the parts lists
                  which are attached hereto and incorporated herein.

                  The CCT Upgrade Kit includes patented engine camshafts, CCT cylinder kits, CEM II catalytic
                  muffler, and 0.015 offset key to retard fuel injection timing. For 1985—1987 model—year engines, the
                  CCT Upgrade Kit also includes DDEC I to DDEC II conversions parts, fuel injectors, turbocharger,
                  blower assembly, blower bypass valve, 40—tooth blower drive gear, and an ECM upgrade. For
                   1988—1990 model—year engines, the CCT Upgrade Kit also includes fuel injectors and an ECM
                  upgrade.

                  This Executive Order may be modified to reflect any changes resulting from the NOx map issue
                  currently being reviewed by U.S. EPA due to the ECM upgrade for 1985—1990 model—year engines.
                  The future resolution will be appropriately incorporated in the exemption.

                   This exemption is based on emission tests conducted by Johnson Matthey, Inc. on a 1992 model—year
                   6V92TA DDEC II engine rebuilt to a federal 1991 model—year urban bus engine configuration.
                   Johnson Matthey, Inc. submitted the following federal transient heavy—duty diesel engine test results

                   for a 552 cubic inch 6V92Z2TA DDEC engine with a 277 horsepower rating:

      The test data show that the CCT Upgrade Kit did not adversely affect the exhaust emissions of the
      DDEC 6V92TA engine. The same emissions impact is expected when the CCT Upgrade Kit is
      installed on the engines for which the exemption is requested.

      This Executive Order is valid provided that installation instructions for the CCT Upgrade Kit not
      recommend tuning the vehicle to specifications different from those submitted by the vehicle
      manufacturer.

      Changes made to the design or operating conditions of the CCT Upgrade Kit, as exempt by the ARB,
      which adversely affect the performance of a vehicle‘s pollution control system shall invalidate this
      Executive Order.                                     ‘

      Marketing of the CCT Upgrade Kit using an identification other than that shown in this Executive
      Order or for an application other than those listed in the attachments shall be prohibited unless prior
      approval is obtained from the ARB.

      In addition to the foregoing, the ARB reserves the right in the future to review this Executive Order
      and the exemption provided herein to assure that the exempted add—on or modified part continues to
      meet the standards and procedures of Title 13, California Code of Regulations, Section 2222 et seq.

      This Executive Order does not constitute any opinion as to the effect the use of the CCT Upgrade Kit
      may have on any warranty either expressed or implied by the vehicle manufacturer.

      THIS EXECUTIVE ORDER DOES NOT CONSTITUTE A CERTIFICATION, ACCREDITATION,
      APPROVAL, OR ANY OTHER TYPE OF ENDORSEMENT BY THE AIR RESOURCES BOARD
      OF CLAIMS OF THE APPLICANT CONCERNING ANTI—POLLUTION BENEFITS OR ANY
      ALLEGED BENEFITS OF JOHNSON MATTHEY, INC.°S CCT UPGRADE KIT.

       No claim of any kind, such as "Approved by the Air Resources Board," may be made with respect to
       the action taken herein in any advertising or other oral or written communication.

       Violation of any of the above conditions shall be grounds for revocation of this Executive Order. The
       Executive Order may be revoked only after a ten—day written notice of intention to revoke the
       Executive Order, in which period the holder of the Executive Order may request in writing a hearing
       to contest the proposed revocation. If a hearing is requested, it shall be held within ten days of receipt
       of the request and the Executive Order may not be revoked until a determination after the hearing that
       grounds for revocation exist.
